Terms of service

These Terms and Conditions govern every sale made by Alphex Limited through alphex.co.uk. Please read them before ordering. By placing an order you accept them, together with our Research Use Disclosures, our Privacy Policy, our Shipping Policy and our Returns and Refunds Policy.

1. Who we are

Alphex Limited is a company registered in England and Wales, company number 16674899, with its registered office at 28 Links Road, West Wickham, BR4 0QW, United Kingdom. We trade as Alphex. You can reach us at lewis@alphex.co.uk, which is also our address for service of notices.

2. Research use only

Everything we supply is a laboratory reagent for in-vitro research by qualified professionals. Nothing we supply is for human or veterinary administration, or for diagnostic, therapeutic, clinical, compounding, cosmetic or household use. No product we sell holds a marketing authorisation from the MHRA, and we make no claim that any product has a medicinal property.

The full position, including what our certificates of analysis do and do not establish, is set out in the Research Use Disclosures, which form part of these Terms.

3. Eligibility and order acceptance

You must be at least 18 years old and must confirm at checkout that you are a qualified researcher and that the materials are for laboratory research only. We may verify age, identity, professional affiliation, delivery address and intended use, and we may screen orders against sanctions and restricted party lists including UK HM Treasury, EU and OFAC lists.

Your order is an offer to buy. A contract is formed only when we send you a dispatch confirmation, not when you receive an order acknowledgement and not when payment is taken. Until then we may refuse or cancel any order, for any lawful reason including failed verification, suspected onward supply for human use, a restricted destination, a pricing error or stock that is unavailable. If we cancel after taking payment, we refund in full within 14 days.

4. Prices and payment

Prices are shown in the currency you select and include any UK VAT that applies. The price shown for a product is the price you pay for that product; delivery is added separately and is shown in full before you commit to pay. Currency conversion is indicative, and the amount your card is charged is set by your card issuer at their rate.

Prices can change, but a change never affects an order we have already accepted. If a product is listed at an obviously incorrect price we will contact you before dispatch and you may confirm at the correct price or cancel for a full refund.

Promotional prices apply only while the promotion is running and as stated in the promotion. Where a promotion has its own terms and those conflict with these Terms, the promotion terms apply to that promotion.

Products marked coming soon cannot be bought. A launch price shown against them is an indication of our intended price and is not an offer to sell.

5. Delivery, risk and title

Carriers, costs, cut-off times and delivery windows are set out in our Shipping Policy. Delivery estimates are estimates, not guarantees, except where we have agreed a delivery date with you in writing.

Unless we agree otherwise, we will deliver within 30 days of the day the contract is formed. If we miss that, you may treat the contract as at an end and receive a full refund.

If you are a consumer, the goods are your responsibility only from the time you or someone you have nominated takes physical possession of them. If you are buying as a business, risk passes when we hand the goods to the carrier. In both cases title passes when we have received payment in full.

For orders outside the United Kingdom you are the importer of record and are responsible for customs clearance, duties, taxes and for satisfying yourself that import is lawful at the destination. We handle a shipment detained or seized by customs or a regulator under the Returns and Refunds Policy.

6. Your right to cancel, and your rights if something is wrong

If you are a consumer you have a 14 day right to cancel a distance purchase, and you have statutory rights under the Consumer Rights Act 2015 if goods are faulty, not as described or not of satisfactory quality. Both, and the exception that applies to a vial whose seal has been broken, are set out in full in our Returns and Refunds Policy. Nothing in these Terms affects those rights.

7. Purity guarantee

We guarantee that the material shipped meets the specification stated on the certificate of analysis published for its batch, identified by the batch code printed on the vial. If your own independent analysis shows otherwise, we replace or refund it and we pay return shipping. How a claim is evidenced and assessed is set out in the Returns and Refunds Policy.

8. Acceptable use

You must not use our site or our products to break the law, and you must not resell, repackage, relabel or redistribute our products for any consumption or therapeutic purpose, or export them in breach of export control or sanctions law. You must not misrepresent our certificates, our test results or our compliance position. We may suspend or close an account and refuse future orders where these Terms are breached.

9. Intellectual property

The content of alphex.co.uk, including our research notes, compound guides, photography, branding and the structure of our COA library, belongs to Alphex Limited or our licensors. You may read and print it for your own research and procurement use. You may not republish it commercially without our written permission. Certificates of analysis may be shared freely in unaltered form.

10. Our liability

We do not exclude or limit our liability in any way that would be unlawful. That includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by the Consumer Rights Act 2015 or the Sale of Goods Act 1979, and for defective products under the Consumer Protection Act 1987.

If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, and we are not liable for business losses, because our products are supplied to consumers only for research use and not for any commercial purpose.

If you are a business: we exclude all implied warranties to the extent permitted by law; we are not liable for loss of profit, loss of business, loss or corruption of data, loss of research work, or any indirect or consequential loss; and our total liability arising from any order is limited to the amount you paid for the products giving rise to the claim.

We are not liable for any consequence of a product being used outside the research use for which it is supplied, or of it being administered to a person or an animal.

11. Events outside our control

We are not liable for delay or failure caused by an event outside our reasonable control, including carrier failure or industrial action, customs or regulatory intervention, supply failure, severe weather, or the failure of utilities or communications networks. We will tell you as soon as we can and, if the delay is substantial, you may cancel and receive a full refund for anything undelivered.

12. Complaints

Email lewis@alphex.co.uk with your order number and what has gone wrong. We acknowledge within 2 working days and aim to resolve within 14 days. We do not currently subscribe to an alternative dispute resolution scheme, and you may take a dispute to court as set out below.

13. Changes to these Terms

We may change these Terms. The version that applies to your purchase is the version published on this page at the time we accept your order, and we do not apply changes retrospectively. The date at the top of this page shows when it last changed.

14. Other terms

You may not transfer your rights under these Terms without our written consent. We may transfer ours if your rights are not affected. These Terms are between you and us, and no other person may enforce them. If a court finds any paragraph unlawful, the rest continues in force. If we do not insist that you do something, or delay in enforcing a term, that does not mean we have given up any right.

15. Governing law and jurisdiction

These Terms are governed by the law of England and Wales. If you are a consumer resident in Scotland or Northern Ireland you may bring proceedings in your own courts, and if you are resident elsewhere in the UK or the EU you keep the benefit of any mandatory consumer protection of your own country. Otherwise you and we submit to the exclusive jurisdiction of the courts of England and Wales.
